Terms & Conditions

Welcome to Caldhurst. These Terms of Use govern your access to and use of caldhurst.com and any webpages, content, features, forms, or other online services made available through the website (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms of Use. If you do not agree, please do not use the Site.

1. About Caldhurst

Caldhurst is a business and brand used in connection with activities in law, business, technology, and research.

The Site is operated by Caldhurst LLC, a New York limited liability company (“Caldhurst LLC”). Caldhurst LLC owns and administers the Caldhurst brand and certain associated intellectual property and digital assets.

Legal services described on the Site are provided by Caldhurst PC, a California professional law corporation, or by another appropriately authorized Caldhurst-affiliated law practice identified in the applicable engagement agreement. Caldhurst LLC does not itself provide legal services.

References on the Site to “Caldhurst,” “we,” “us,” or “our” may refer generally to the Caldhurst enterprise or, where the context requires, to the particular Caldhurst entity providing the relevant service.

2. Informational Purposes Only

The Site provides general information about Caldhurst and its activities. Content on the Site is provided for informational purposes only and may not be complete, current, or applicable to your particular circumstances.

Nothing on the Site constitutes legal, financial, investment, tax, accounting, or other professional advice unless expressly provided as part of an established professional engagement.

You should not act or refrain from acting based solely on information appearing on the Site.

3. No Attorney-Client Relationship

Visiting the Site, communicating with Caldhurst through the Site, submitting a contact or intake form, sending an email, or otherwise providing information to Caldhurst does not, by itself, create an attorney-client relationship.

An attorney-client relationship with a Caldhurst law practice is established only through an express agreement confirmed by the applicable law practice, ordinarily in a written engagement agreement.

Until such a relationship has been established, you should not send information that you consider highly sensitive or confidential. Information submitted before an attorney-client relationship exists may not be protected by the attorney-client privilege.

Nothing on the Site constitutes a guarantee that Caldhurst will accept or be able to accept any particular matter.

4. Attorney Advertising

The Site may constitute attorney advertising under the laws and professional rules of certain jurisdictions.

Prior results, representative matters, testimonials, case descriptions, or other information concerning legal experience do not guarantee or predict a similar outcome in any future matter.

Attorneys associated with Caldhurst are authorized to practice only in the jurisdictions in which they are admitted. The Site is not intended to represent that any attorney is authorized to practice law in a jurisdiction in which that attorney is not admitted or otherwise authorized.

5. Research, Ratings, and Other Information

Caldhurst may publish research, analysis, commentary, ratings, rankings, evaluations, indices, comparisons, or other informational materials concerning businesses, industries, products, services, consumer experiences, or other subjects.

Such materials may be based on information from multiple sources, including publicly available information, third-party sources, consumer submissions, proprietary research, automated analysis, and Caldhurst's own methodologies.

Although Caldhurst seeks to use reasonable methods and reliable information, no rating, ranking, score, analysis, or other publication should be understood as a guarantee of accuracy, completeness, quality, safety, suitability, or future performance.

Unless expressly stated otherwise, Caldhurst's research and ratings reflect Caldhurst's methodology and analysis and do not constitute an endorsement, certification, warranty, or professional recommendation.

The inclusion or exclusion of any person, business, product, or service does not imply sponsorship, affiliation, endorsement, or disapproval.

6. Independence of Ratings and Research

Caldhurst may offer businesses software, data, analytics, research, communications, resolution, or other commercial services.

Payment to Caldhurst does not entitle any person or business to a higher rating, ranking, score, or more favorable research conclusion.

Where Caldhurst publishes ratings, rankings, awards, or evaluations, Caldhurst may establish eligibility requirements, confidence thresholds, methodologies, and editorial standards and may revise them from time to time.

7. User Submissions

The Site may permit users to submit inquiries, reviews, complaints, documents, comments, responses, ratings, or other information (“User Content”).

You remain responsible for User Content you submit. You represent that you have the right to provide it and that, to the best of your knowledge, it is not knowingly false, unlawful, defamatory, fraudulent, threatening, or submitted for an improper purpose.

Except for information submitted specifically in connection with an established attorney-client relationship, by submitting User Content you grant Caldhurst a nonexclusive, worldwide, royalty-free license to store, process, reproduce, analyze, summarize, display, publish, and otherwise use that content as reasonably necessary to operate, improve, research, and provide Caldhurst's services and publications, subject to our Privacy Policy and applicable law.

Caldhurst may moderate, decline, remove, redact, aggregate, or restrict User Content in its discretion.

8. Business Responses and Corrections

Businesses and individuals discussed in Caldhurst publications may contact Caldhurst to provide additional information, identify potential factual errors, or respond to published information.

Caldhurst may consider such information but does not guarantee that any content, rating, ranking, or analysis will be changed.

Caldhurst may establish procedures for verification, corrections, appeals, responses, and resolution of complaints.

9. Intellectual Property

The CALDHURST™ name, Caldhurst logo, designs, branding, methodologies, original research, website content, graphics, text, software, databases, compilations, and other proprietary materials appearing on or associated with the Site are owned by or licensed to Caldhurst LLC or its affiliates, as applicable, and are protected by applicable trademark, copyright, trade-secret, and other laws.

Except as expressly permitted, you may not reproduce, republish, distribute, modify, sell, license, scrape, systematically extract, create derivative works from, or commercially exploit proprietary Site content without prior written permission.

You may link to publicly available pages on the Site and may make reasonable quotations or references consistent with applicable law, provided that you do not misrepresent Caldhurst's content or imply an affiliation, sponsorship, or endorsement that does not exist.

Nothing on the Site grants any right to use the CALDHURST name, Caldhurst logo, or other Caldhurst marks as a trademark, business name, domain name, social-media identifier, or other source identifier.

10. Automated Access and Artificial Intelligence

You may not use automated systems, bots, crawlers, scrapers, or similar technologies to access or extract Site content at scale except with Caldhurst's written permission or as reasonably necessary for conventional public search-engine indexing.

You may not use proprietary Caldhurst content or databases to train, fine-tune, evaluate, or develop an artificial-intelligence or machine-learning system except as permitted by applicable law or with Caldhurst's written permission.

11. Third-Party Content and Links

The Site may contain information obtained from or links to third-party websites, platforms, publications, databases, or services.

Caldhurst does not control those third parties and is not responsible for their availability, accuracy, policies, security, or content. References to third parties do not necessarily constitute endorsement or affiliation.

Third-party trademarks remain the property of their respective owners.

12. Prohibited Conduct

You may not use the Site to violate applicable law; interfere with the Site or its security; impersonate another person or organization; submit knowingly false or fraudulent information; introduce malicious code; obtain unauthorized access to systems or information; systematically harvest Site content; or falsely suggest affiliation with or endorsement by Caldhurst.

13. No Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, CALDHURST DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT.

Nothing in this section limits any obligation that cannot lawfully be disclaimed.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Caldhurst LLC and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Site.

Nothing in these Terms limits liability where such limitation is prohibited by law or limits the professional obligations of a Caldhurst law practice to a client under an applicable engagement agreement or rules of professional conduct.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Any dispute arising solely from use of the Site or these Terms shall be brought in a state or federal court of competent jurisdiction located in New York, except where applicable law requires otherwise.

This provision does not govern attorney-client engagements, which are governed by their applicable engagement agreements.

16. Changes

Caldhurst may modify these Terms from time to time. The “Last Updated” date identifies the most recent revision. Continued use of the Site after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
